1. Acceptance of Terms

By accessing or using LuxSign ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

LuxSign provides electronic signature services allowing users to upload, send, and sign documents electronically. The Service is provided "as is" and "as available" without warranties of any kind.

2.1 Service Features

Upload PDF, DOC, and DOCX documents for electronic signing
Create and apply electronic signatures (draw, type, or upload)
Send documents to multiple signers for signature collection
Track document status and receive email notifications
Secure document storage with encryption
Audit trail for compliance and verification

3. User Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Ensuring you have the legal right to sign documents you upload
Complying with all applicable laws and regulations
The content of documents you upload to the Service

4. Prohibited Uses

You agree not to:

Use the Service for any illegal purpose or to violate any laws
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to the Service or other users' accounts
Use the Service to harass, abuse, or harm others
Reverse engineer, decompile, or disassemble any part of the Service
Use automated systems to access the Service without authorization
Resell or redistribute the Service without written permission

5. Subscription Plans

LuxSign offers the following subscription plans:

Free Plan

Sign documents sent to you, 1 self-signed document per month

Premium Plan

19.99/month

Unlimited documents, send documents for signature, up to 4 signers per document

Business Plan

Custom pricing, API access, bulk signing, priority support

5.1 Billing

Subscription fees are charged in advance on a monthly basis. All fees are non-refundable except as required by law. LuxSign reserves the right to change pricing at any time with thirty (30) days' notice to existing subscribers.

5.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@luxsign.lu. Upon cancellation, your subscription will remain active until the end of the current billing period, after which you will be downgraded to the Free plan.

6. Intellectual Property

All content, features, and functionality of the Service are owned by LuxSign and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of documents you upload, but grant LuxSign a limited license to process them for providing the Service.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LUXEMBOURG LAW:

LuxSign shall not be liable for any indirect, incidental, special, consequential, or punitive damages
LuxSign's total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim
LuxSign is not responsible for any loss of data, business interruption, or damages resulting from your use of the Service
LuxSign does not guarantee uninterrupted or error-free service
You use the Service at your own risk

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LuxSign does not warrant that the Service will meet your requirements or that it will be uninterrupted, timely, secure, or error-free.

9. Electronic Signatures - eIDAS Disclaimer

LuxSign provides Simple Electronic Signatures (SES) under EU Regulation 910/2014 (eIDAS).

Important Notice:

•LuxSign signatures are Simple Electronic Signatures (SES), not Advanced (AES) or Qualified Electronic Signatures (QES)
•While SES signatures are legally valid and admissible in court across the EU, they do not carry the same legal presumption as AES or QES signatures
•It is YOUR responsibility to ensure that electronic signatures meet the legal requirements of your specific jurisdiction and use case
•LuxSign does not guarantee the legal validity or enforceability of any electronic signature in any jurisdiction
•This Service does not constitute legal advice. Consult a legal professional for transactions requiring specific signature types
•LuxSign is not liable for any legal consequences resulting from the use of electronic signatures

For high-value transactions, regulated industries, or legally sensitive documents, we recommend consulting with legal counsel to determine the appropriate signature type for your needs.

10. Account Termination

LuxSign reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service will immediately cease. You may cancel your account at any time by contacting support@luxsign.lu.

11. Data Retention and Deletion

LuxSign retains your documents and data as necessary to provide the Service and comply with legal obligations. You may request deletion of your data by contacting support@luxsign.lu. LuxSign reserves the right to retain certain data as required by law (including signed documents for up to 10 years under Luxembourg commercial law) or for legitimate business purposes.

12. Indemnification

You agree to indemnify, defend, and hold harmless LuxSign and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Luxembourg City.

14. Changes to Terms

LuxSign reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically. For material changes, we will provide 30 days advance notice via email.

15. Force Majeure

LuxSign shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and LuxSign regarding the use of the Service.
